What you get with LF LEGAL
Fully online
Identity verification, electronic signatures, signing of documents and company registration all take place remotely. You can complete the whole process from anywhere in the world. All you need is your phone: we provide the e-signature app and guide you through setting it up, then handle all technical steps on our side – you simply approve each signature in the app.
Focused on foreign clients
Our practice is built around foreign entrepreneurs. We prepare all documents in Polish and English and explain what each Polish requirement means for you.
More than registration
Registering the company is only the first step. Our incorporation services always include the mandatory filings after registration and the essentials you need to start operating: the company's e-delivery address for official correspondence and access to KSeF, Poland's mandatory e-invoicing system.
Handled by lawyers
Your company is set up by licensed Polish lawyers, bound by professional secrecy and covered by professional liability insurance.
Clear prices
Our fees are fixed and published below, and they include all official fees – the court registration fee and stamp duty – for a company with the standard share capital of PLN 5,000, so you know the full cost before we start. Planning a higher share capital? Contact us for a tailored quote.
Limited liability company (Polish: sp. z o.o.) – registration packages
Based on our experience, we have grouped the Polish limited liability company formation services that our clients most often order into packages. Each package covers all the services clients typically need for a particular type of business.
- have only individuals (natural persons) as shareholders and directors (management board members) – if one of the shareholders is a company, see “Setting up a subsidiary?” below;
- have the minimum share capital of PLN 5,000;
- are registered online through the Polish Ministry of Justice's S24 system.
A Polish limited liability company can also be registered in the traditional way, by notarial deed with customised Articles of Association. If you are interested in this route, please contact us.

E-Doręczenia is the Polish government's electronic delivery system. Public authorities, such as the tax office, send official letters to the company's e-delivery box, so every company must have one. We apply for your company's e-delivery address in the registration application. To use the box, the company must appoint an administrator, who logs in to the government portal and activates it. If you have no one to act as administrator, see E-delivery box administration under Recurring services. |

KSeF (Krajowy System e-Faktur) is the Ministry of Finance's system for issuing and receiving invoices in Poland. Access is not activated automatically when the company is registered – it has to be granted to a company representative through a separate procedure, which we handle for you. Once access is active, the representative can log in to KSeF, for example through the free Ministry of Finance app. |

|
The Ministry of Finance's free KSeF app is difficult for foreign users – it is available in Polish only, and each login must be approved with the company representative's e-signature. We therefore set up third-party invoicing software connected to KSeF. It works in a web browser, is available in several languages and allows multiple users. Our service covers creating the account and setting up the KSeF connection. The free licence plan lets you issue and receive invoices up to the provider's limits; if you need more, you can buy a paid plan directly from the provider. LF LEGAL does not receive any commission from the software provider. |

How the price is calculated
Package fee + EUR 200 per person. A person who is both a shareholder and a director pays EUR 200 only once. All official fees – the court registration fee and stamp duty – are included in the price for a company with the standard share capital of PLN 5,000. Our fees are net. Legal services provided to foreign business clients are usually not subject to VAT in Poland; in that case, you pay only the prices shown. We confirm the VAT treatment with you before you order.
The examples below show what you pay when you order the registration, with and without these two services.
One founder – sole shareholder and director, Poland Start
EUR 900 + 1 × EUR 200Two founders – both shareholders and directors, EU Business
EUR 1,400 + 2 × EUR 200Two shareholders + a separate director (3 persons), Global Business
EUR 1,900 + 3 × EUR 200Share capital – your investment, not a cost
The share capital of a Polish limited liability company (sp. z o.o.) must be paid before the company is registered or within 7 days after registration. It can be paid in cash or by bank transfer.
The share capital (minimum PLN 5,000) is not included in our fees, but it is not an extra cost of incorporation either. It is your own investment in your company: the money belongs to the company, which can use it to pay its business expenses. For example, the minimum capital of PLN 5,000 (or its equivalent in a foreign currency) can be contributed in cash at the incorporation stage and paid into the company's bank account later, once the account is opened.
Setting up a subsidiary? (One of the shareholders is a company)
If at least one shareholder of your Polish company is a company (for example, your parent company abroad), the subsidiary version of each package applies. It includes exactly the same services as the packages above, with a package fee EUR 200 higher:
Two additional costs apply to a subsidiary:
1. Qualified electronic signature: EUR 200 per person.Needed by each director (management board member), each shareholder who is an individual, and each person who will sign the incorporation documents on behalf of the corporate shareholder.
2. Sworn translation of the parent company's corporate documents into Polish: priced per page. The parent company's documents (for example, its commercial register extract) must be filed in a sworn Polish translation. We arrange this with a translation firm. The cost depends on the language and the number of pages: usually EUR 80–150 for an English-language extract. Send us a scan of the documents and we will confirm the exact cost before the translation is ordered.
Example: one director and one person signing for the parent company, Poland Start package: EUR 1,100 + 2 × EUR 200 = EUR 1,500. With the registered office and e-delivery box administration for the first year: EUR 1,950 in total, plus the sworn translation of the parent company's documents (usually EUR 80–150 for an English-language extract).
None of the packages fits your needs? Contact us and we will prepare a tailored quote.
How it works – from first contact to a registered company
Durations in working days. Click a step to see what it involves.
Step 1 – Collecting information
You provide us with the information and documents needed to register your company and to complete the standard client checks that Polish law requires law firms to carry out (KYC – Know Your Client).
Usually 1–3 working days
Step 2 – Online identity verification
We send you a link to the online identity verification. You complete the identity check on the verification platform.
Usually 1 day
Step 3 – E-signature activation
We order a qualified electronic signature for you and receive the activation package from the e-signature provider. You install the e-signature mobile app and activate it with the QR code we send you.
Usually 1–3 working days – runs in parallel with Step 4
Step 4 – Drafting the incorporation documents
We draft the incorporation documents in Polish and English and send them to you for approval. Once you approve them, you book the signing meeting through our calendar link. All shareholders and directors must take part in the meeting.
Usually 1–2 working days – runs in parallel with Step 3
Step 5 – 1st online meeting (signing the incorporation documents)
An online video meeting with our attorney, during which all shareholders and directors (management board members) sign the incorporation documents in the e-signature app on their phones.
We file the registration application on the same or the next working day
Step 6 – Filing with the court registry
We file the application to register your company in the National Court Register (KRS) through the Ministry of Justice's online S24 system. In the same application, we apply for your company's e-delivery address, where Polish authorities will send official letters.
Registration usually takes 1–5 working days. In rare cases, the court may take longer for reasons beyond our control.
- Providing the required information and documents
- Online identity verification
- Approving e-signatures on your phone
- 2 short online meetings
Company registered
Your company is entered in the National Court Register (KRS) and receives its basic registration numbers: KRS (company registration number), NIP (tax identification number) and REGON (statistical identification number). From that date, your company's registration details are available online and can be verified by third parties. Your company can now sign contracts and apply for a bank account, a VAT number and other registrations. Registration also starts the deadlines for the mandatory post-registration filings.
Step 7 – Receiving the company documents
As soon as the registration is published, we download your company's basic registration documents in Polish: the Extract from the National Court Register (KRS), the Certificate of Incorporation, the Articles of Association, the List of Shareholders, the List of Directors and the other documents signed during the process.
Usually 1–2 working days after registration, as some documents become available for download only after a short delay
Step 8 – 2nd online meeting (signing the post-registration documents)
Once the company is registered, we hold a second online meeting with the director(s) (management board member(s)) to e-sign the required post-registration documents. The shareholders do not need to attend this meeting. Registration in the Central Register of Beneficial Owners (CRBR) is completed during this meeting.
Usually 2–3 working days after registration
Step 9 – KSeF access
Immediately after the online meeting, we apply for KSeF access, so your company can issue and receive invoices.
Activation usually takes 1–2 weeks
Step 10 – Tax access (UPL-1)
We register a power of attorney (UPL-1) giving us access to the tax filing system.
The tax office usually approves the UPL-1 within 7–9 working days
Step 11 – Mandatory tax filings (PCC-3 and NIP-8)
Once the UPL-1 is registered and access is granted, we complete the remaining mandatory filings: the stamp duty return (PCC-3) and payment of the duty, and the submission of the company's supplementary data to the tax office (NIP-8). Both filings have statutory deadlines, but they do not affect your company's ability to operate.
Usually 1–2 working days after the UPL-1 is approved

Recurring services (renewed annually)
| Service | When it is usually needed | Fee |
|---|---|---|
| Registered office with correspondence forwarding by email | Required if you do not have your own address in Poland – every company needs a Polish registered office address to be registered. | EUR 350 per year (provided by a registered office provider we recommend) – payable in advance when you order the registration |
| E-delivery box administration with forwarding of official letters by email | If you do not have anyone who can act as the e-delivery box administrator | EUR 100 per year – payable in advance when you order the registration |
| Assistance with mandatory annual corporate filings: annual shareholders' resolutions and filing of financial documents with the Repository of Financial Statements | Required every year for every Polish sp. z o.o. (your accountant must first prepare the financial statements) | EUR 350 per year – no advance payment; payable after the end of the financial year |
After registration – what your company will need next
Once registered, your company will need a business bank account and an accountant. When you need the accountant depends on your activity: some companies need one from the first month, others – for example, those with no monthly tax filings – only later in their first financial year. Both are outside the registration fee, because they are provided by banks and accounting firms, but we help you with each.
Business bank account – how we help
Opening a bank account is not part of the registration, but we help you choose the right option:
- Online business account: free introduction to an online bank or payment provider that accepts Polish company documents without translation and offers a Polish IBAN in PLN. You complete the KYC process fully online.
- Traditional Polish bank: the bank first carries out its KYC process remotely. Once it is approved, the company's representative must visit a branch in Poland once to sign the account agreement. We arrange the appointment and assist you during the meeting, so the account is opened during that single visit. Recommended if your company will do business with Polish clients, as they usually expect payment to an account registered on the Polish VAT “white list”.
- Fully online account in a traditional bank: available for selected subsidiaries of established foreign companies.
The final decision to open an account always rests with the bank.
Accounting – required for every Polish company
Every sp. z o.o. must keep full accounting records and file annual financial statements, even if it has no activity. Accounting is not part of the registration packages, but we make sure you are covered as soon as you need it:
- Company with no or very limited activity (e.g. a company not yet trading): we provide accounting ourselves for EUR 850 per year, plus EUR 350 per year for the mandatory annual corporate filings (see Recurring services above).
- Operating company: we introduce you to a trusted English-speaking partner accounting firm that matches your budget and how much guidance you need.
Ongoing legal support in Poland
Our support does not end with the registration. Once your company is operating, LF LEGAL can continue as your law firm in Poland, assisting you with contracts, corporate matters and other legal questions as your business grows. Contact us to discuss ongoing legal support.
